But... If it's phased out, it doesn't exist. If something doesn't exist, can it enter the battlefield, let alone engage in combat?
I've also thought about "ETB phased out" as a possible land drawback: it's just like ETB tapped except it doesn't work with Amulet of Vigor or other untap shenanigans, it doesn't trigger landfall, and it doesn't allow your opponent to pick it off with Stone Rain or Tectonic Edge until you actually get a chance to use it for mana.
Here it essentially serves the purpose of a Wrath-proof shroud creature, even if not all that threatening.

Out of interest, would this instakill animated planeswalkers?
Can this effect not live in layer 4 with the rest of the type-changing effects? Rimefeather Owl's ability would be dependent on it. I guess it would require a section in the comprules defining the "type" of a counter (which would depend on the ability that created the counter).
I also guess it would hose Flourishing Defenses, as the game would see Creature without counter => Creature with +1/+1 counter and not trigger (though I'm not certain on that)
When this leaves play put them back is too messy. Don't put them back... there isn't a good enough reason for it.
I love the idea of using this as a backup plan for Darksteel Reactor. Hmm... It's still going to be 5 more turns before I'll win with this guy. Guess I'll just animate him and attack with my 15/15 indestructible dude.

Other than hosing wither, I'm not sure why this is so expensive though. Most of your counters already are +1/+1, and the ones that aren't probably wanted to be. Edit: Ah, yeah, forgot the cards that do good things when you give them -1s.
For the rules problem, I guess you could make it "Replace all counters on your creatures with +1/+1 counters, when this leaves play put them back" messiness.
Fun fact: This card doesn't actually work under the current rules. Changing the names of counters (assuming any card did such a thing) would have its effect in "layer 9" alongside things like Darksteel Plate, and the counters would need to be aware of their role by layer 7 to do what they're supposed to do (probably even earlier, lest cards like Rimefeather Owl yield strange consequences where they basically get to double-dip).
Also assuming the rules had the necessary fix, cards like Devoted Druid get pretty darn good with this.

I like this.
The name may be on the weak side, but this seems like a great direction to go with a land. Players normally stack duplicate lands on top of each other anyway, so putting this under a land has the effect you would expect just by a glance at the board.
Flip cards and transform cards have a large amount of design overlap, but this one in particular would be better suited to the transform template if we ever got that.
(Part of it has to do with the layout on this card still being extremely messed up in my browser.)
Titans aren't quite so bad when you can take their triggers for yourself. And while it may not help much against most of the instant-win cards, it makes Darksteel Reactor seem like a pretty bad play. (And Chance Encounter, but no one takes that one seriously anyway.)
dude: The "another" is there to make it that much more difficult to create an infinite loop of triggered abilities with no one gaining priority. Just Mirror Gallery plus Sculpting Steel would be a problem without it; now you need something to animate one of the Scopes (on that note, yay for obscure token types) plus a Neurok Transmuter to make it stop being an artifact. At that point, it's certainly harder than the "three Faceless Butchers on a clear board" threshold that R&D has on game-drawing loops.

This is interesting in that it works on opponents' triggered abilities too. I'm sure there are some fun things to do with that, although I can't think of any OTTOMH.
I like what you're trying to do with this card, but a few things:
"Prism" is a creature type, not an artifact type. See Diamond Kaleidoscope.
Since it has the restriction of non-Prism, you don't need to include "another," since it doesn't fall under that category.
Prisms nearly always tap for mana of any color, like Circles protect you.
I love this card. It's very ... cerebral.
Permanents? Not permanent spells? Woah.
