Yeah, that's a very pushed dual land.
Looking back at this, I definitely agree you were correct to make this rare. The basic land types make a huge difference, and this being able to work as a bigger Raise the Alarm as well pushes its power level even higher.
I was expecting something that cared about color.
I like this now, though I would be compelled to only allow the +1/+1 counters to go on creatures, and I would also have the protection apply only to creatures. Such an easily repeatable fog on a body that can also be attacking would be very, very annoying.
I'm with Sorrow. That second ability is a definite faux pas. Also, the ultimate is very, very blue.
Returning any creature from exile is supposed to be no-no territory. I would suggest for the second ability a clause about it being a creature exiled by Tah'wir.

Yikes. I don't think this should have flying. It's extremely easy for it to attack, which is okay on expensive common blue Serpent-alikes, but they never have flying.
Suggested wording:
> "At the beginning of your next upkeep, you may choose a creature that dealt damage to you or a planeswalker you control since your last turn, then exile that creature."
> "Return target creature card from exile to the battlefield under your control."
> "Exile all permanents. Then return all permanent cards from exile to the battlefield under your control."
Also, wow, um, that ultimate is absolutely insane. More game-winning than most planeswalker ultimates. Admittedly you need to tick up 5 turns to get there... but the +1 is a very effective defence, much more so than Jace, Architect of Thought's defensive +1. I fear this planeswalker as he currently is would need to cost at least 5 mana, perhaps 6.
