  1. small issue: The first ability is worded incorrectly. It should be "~ enters with X +1/+1 counters ON IT".
  2. the second ability doesn't work as I assume you think it does at all. Ward is a triggered ability that triggers when an opponent casts the spell targeting the creature. If you want this to work, simply reword it to "Remove a +1/+1 counter from ~: Counter target spell or ability that targets ~ unless it's controller pays {2}.
