Interesting, but kind of confusing and wordy. Perhaps something like Gideon Jura's ability that lets him become a creature?

I like that SM has at least taken care of the damage issue in most cases. Wither / infect still goes quite weird with this (it basically counts double). And if she gets attacked, she can block for herself.

For all that, she'll probably just be "burn spell the turn I drop her, Insurrection next turn unless you have Path to Exile".

Wouldn't "If damage would be dealt to CARDNAME,prevent that damage and remove that many loyalty counters from her" make more sense? I think a lot of players would have problems understanding what exactly "marked on her" means.

The problem there is card space. The top two abilities can squeeze into one-third of the standard 3-stripe PW box, but if the damage-handling ability takes up more than one line (at MSE font sizes, anyway) that no longer fits.

A lot of players would have problems handling innate creature planeswalkers no matter how you phrase them, so I wouldn't worry about seeing a card like this pop up in a booster pack near you for as long as they're still focusing their priorities on capturing new players.
